CRE.link ("we," or "us") -- specializes in providing cloud-based services and content to the commercial real estate industry. These terms and conditions govern our respective rights and obligations with respect to your access and use of CRE.link services (the "Service") and the associated electronic documentation (collectively, the "Materials"). By submitting information to, or accessing information from, the Service, you are agreeing to the following terms and conditions of use, whether or not you are a registered user of our Service. If you are using CRE.link on behalf of a company or other legal entity, you are nevertheless individually bound by this Agreement even if your company has a separate agreement with us. If you do not want to register an account and become a CRE.link user, do not conclude the Agreement, do NOT click "Sign-Up" and do not access, view, download or otherwise use any CRE.link information or services.
We reserve the right to modify, supplement or replace the terms of the User Agreement, effective upon posting at CRE.link or notifying you otherwise. When we have amended this User Agreement or the Privacy Policy we will post the policy changes to this page and notify members of these changes and note the ability to set privacy settings for new uses. Your continued use of this website or our services will be deemed your acceptance to the new terms of this User Agreement and Policy Statement. If you do not want to agree to changes to the User Agreement, you can terminate your account and services provided by CRE.link through your Account Settings page.
OUR SERVICES
Purpose of Service
CRE.link offers a simple, reliable, and transparent business solution to the Commercial Real Estate industry. CRE.link streamlines the internal business management of your Contact and Property Databases by linking them to ownership, virtual deal rooms as well as managing your listing pipeline or project management.
Use of Service
We may maintain different types of accounts for different types of Members. If you open a Member account on behalf of a company, organization, professional team or other entity, then (a) "you" includes you and that entity, and (b) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement, and that you agree to this Agreement on the entity's behalf.
YOUR OBLIGATIONS & RIGHTS
Applicable Laws of This Agreement
You must comply with all applicable laws, the User Agreement, as may be amended from time to time with or without advance notice, and the processes explained in the Privacy Policy.
Membership Account
When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. You must notify CRE.link immediately of any breach of security or unauthorized use of your account. CRE.link will not be liable for any losses caused by any unauthorized use of your account. You may never use another Member's account without permission.
You may control your Member profile and how you interact with the Service by changing the settings in your Account Settings. By providing CRE.link your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail.
License and warranty for your submission to CRE.link
You own the information you provide CRE.link under this Agreement, and may request its deletion at any time, unless you have shared information or content with others and they have not deleted it, or it was copied, stored by other users or made Public. Additionally, you grant CRE.link a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sub-licenseable, fully paid up and royalty-free right to us to copy, prepare derivative works of, improve, remove, process, analyze, use and commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly to CRE.link, including, but not limited to, any user generated content, ideas, concepts, or techniques to the services, you submit to CRE.link, without any further consent, notice and/or compensation to you or to any third parties. Any information you submit to us is at your own risk of loss.
Sign-In Credentials
You agree to: (1) Keep your password secure and confidential; (2) not permit others to use your account; (3) refrain from using other Users' accounts; (4) refrain from selling, trading, or otherwise transferring your CRE.link account to another party; and (5) refrain from charging anyone for access to any portion of CRE.link, or any information therein. Further, you are responsible for anything that happens through your account until you close down your account or prove that your account security was compromised due to no fault of your own.
User Content and Sharing
To the best of your knowledge, all your User Content and other information that you provide to us is truthful and accurate and you have the right to submit this information for use within the CRE.link system. You expressly grant, represent and warrant that you have a right to grant, to CRE.link a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, and make derivative works of all such User Content.
You shall be solely responsible for your User Content and the consequences of posting or publishing content, and you agree that CRE.link is only acting as a passive conduit for your online distribution and publication of your User Content. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable, unsuited to your purpose, and you agree that CRE.link shall not be liable for any damages you allege to incur as a result of User Content.
Paid Services
Billing: Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the terms of sale, pricing, payment and billing policies applicable to such fees and charges. CRE.link may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in its sole discretion.
Payment: All information that you provide in connection with a purchase or transaction or other monetary transaction interaction with the Service must be accurate, complete, and current. You agree to pay the applicable fees for the Services (including, without limitation, periodic fees for premium accounts, featured listing fees, and service upgrade fees) as they become due plus any related taxes, and to reimburse us for all collection costs and interest for any overdue amounts. It is your obligation to pay fees through the end of the subscription period and promptly provide CRE.link with any contact or billing information changes or updates. You agree to notify CRE.link about any billing problems or discrepancies within 90 days after charges first appear on their billing history report. If it is not brought to CRE.link's attention within 90 days, your agree to waive their right to dispute such problems or discrepancies.
Refunds: You may cancel your Member account at any time; however, there are no refunds for cancellation for any pre-paid services. In the event that CRE.link suspends or terminates your account or this Agreement, you understand and agree that you shall receive no refund or exchange for any CRE.link unused time on a subscription, any license or subscription fees for any portion of the Service, or any content or data associated with your account.
User-to-User Interaction
You are solely responsible for your interactions with other CRE.link Users. We reserve the right, but have no obligation, to monitor disputes between you and other Users. CRE.link shall have no liability for your interactions with other Users, or for any User's action or inaction.
Notify us of acts contrary to the Agreement
If you believe that you are entitled or obligated to act contrary to this Agreement under any mandatory law, you agree to provide us with detailed and substantiated explanation of your reasons in writing at least 30 days before you act contrary to this Agreement, to allow us to assess whether we may, at our sole discretion, provide an alternative remedy for the situation, though we are under no obligation to do so.

Security
We have implemented commercially reasonable technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
Right of Refusal
CRE.link has the right to refuse service to any member, individual, organization, or firm (and all members associated or affiliated with said organization or firm) that refuses to abide by the terms and conditions herein, refuses to abide by the Privacy Policies, or abuses their rights related to the CRE.link service.
Third-Party Services
CRE.link may contain hyperlinks to other web sites, advertisers, services, special offers, or other events or activities that are not owned or controlled by CRE.link. CRE.link does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. Access to third party websites from the Service, is at your own risk, and this Agreement and CRE.link's Privacy Policy do not apply to your use of such sites. CRE.link shall not be responsible for any loss or damage of any sort relating to your dealings with such third-party websites and advertisers.
Termination
We may, without prior notice, change the Service; stop providing the Service or features of the Service, to you or to users generally; or create usage limits for the Service. We may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you violate any provision of this User Agreement, or for no reason. Upon termination for any reason or no reason, you continue to be bound by this User Agreement.
No Professional Advice
Any and all professional information (listing, deal, financial, etc) provided and shared through the Service is for informational purposes only and should not be construed as professional advice. No action should be taken based upon any information contained in the Service without seeking independent professional advice from a licensed and/or qualified counsel in the applicable area.
Deal & Deal Sharing Information
No information contained on this site is intended to constitute, nor shall it be interpreted as, any such sale or offer to sell by CRE.link. CRE.link is not a registered real estate broker. Anyone who uses the site in connection with a potential transaction does so at its own risk and is solely responsible for conducting its own legal, accounting and due diligence review. CRE.link recommends that users seek proper professional accounting and legal counsel to review deal, listing, or marketed content as applicable. All materials on this site are strictly for informational purposed only. CRE.link is not involved in the preparation and furnishing of the information on this site. CRE.link has not investigated, and is not responsible for, the accuracy or completeness of any information on the site.
Content Export
CRE.link is controlled and operated in the United States. CRE.link makes no representations that the Service is appropriate or available for use in locations outside of the United States. Users who access or share content on the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations.
No Warranty
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM CRE.link OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, CRE.link, ITS SUBSIDIARIES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICE.
CRE.link DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE CRE.link SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND CRE.link WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
Indemnity
YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS CRE.link, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL CRE.link BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRE.link ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. CRE.link EXPLICITLY DISCLAIMS ANY AND ALL LIABILITY AND/OR RESPONSIBILITY FOR ANY DISCLOSURE OF INFORMATION THAT MAY BE DEEMED CONFIDENTIAL BY YOU OR ANY THIRD PARTY. IN NO EVENT SHALL CRE.link, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO CRE.link HEREUNDER.
Waiver and Sever-ability
The failure of CRE.link to exercise or enforce a legal right or remedy contained in the User Agreement does not constitute a waiver of any such right or remedy. No waiver of any right, term or provision of this User Agreement is deemed a waiver of any other right, term or provision. If a court of competent jurisdiction finds any provision of the User Agreement to be invalid, User agrees that the remaining terms and provisions remain in full force and effect.
